1. Purpose

These Terms of Use govern the use of allinauckland.com and SmartCubic-enabled services owned and operated by GLOBALIZ LTD (the “Company”) and set out the rights, responsibilities and obligations of the Company and users.

2. Definitions

1.  “SmartCubic” means the internet technology platform and related platform solutions operated by the Company for businesses and individuals.

2.  “Company” means GLOBALIZ LTD, the domain owner and service operator of allinauckland.com and the operator of SmartCubic.

3.  “User” means an individual or entity that accepts these Terms and the applicable Privacy and Customer Information Protection Policy and uses the Services.

4.  “Business Member” means an individual or entity that uses the platform to offer products, services, events, information or promotions to Users.

5.  “Service” means local information, search and recommendations, business or organisation pages, events, enquiry or booking connections, MetaCubic, Reward, CubicPass, Friend, Comment, Cubic App, QR/URI and other functions made available through allinauckland.com or SmartCubic.

6.  “Personal Information” or “Information” includes information about an identified or identifiable individual, such as name, email address, contact details, account information and service-use information, as further described in the Privacy and Customer Information Protection Policy.

7.  “Content” means anything a User provides, posts, uploads, creates or shares through the Service, including text, images, links, business information, Comments and Cubic App information.

8.  “ID” means a SmartCubic ID selected by the User or issued or approved by the Company for identification purposes and consisting of letters, numbers or other permitted characters.

9.  “Password” means authentication information used to verify a User and restrict access to the account, which may include letters, numbers and special characters.

10.  “Reward” means a benefit or reward function that the Company or participating businesses may make available within the SmartCubic ecosystem subject to applicable programme conditions.

3. Application and Eligibility

Where an account is required, the relevant Service may be used after registration or activation of a SmartCubic ID in accordance with these Terms. Public information features that do not require an account remain subject to the provisions relevant to those features.

The Company may restrict account creation or use for safety, legal compliance or serious policy violations.

  • A person under 14 may not independently use account-based SmartCubic services unless the Company expressly provides a guardian-authorised process and applicable law permits it.
  • Where lawfully established and reasonably necessary for user safety, the Company may restrict access by a person with a serious sexual-offence conviction or other serious safety-related history, to the extent permitted by applicable law.
  • A person whose account was previously terminated or suspended for a material breach of these Terms or Company policies may be prohibited from re-registering or reusing the Service without prior approval.

4. Registration and Accounts

Where registration is required, a User must provide a valid SmartCubic ID, name, email address and password. A mobile number may be required only where it is genuinely necessary for a particular Service, security or verification process.

Users must ensure that account information is accurate, current and lawfully usable by them.

5. Refusal, Suspension and Termination

The Company may refuse registration or suspend or terminate an account or Service access where any of the following applies. Unless urgent security or legal reasons prevent it, the Company will seek to provide reasonable information about the reason and available next steps.

1.  The User does not accept these Terms or a required privacy notice or consent process.

2.  The User registers with another person’s personal information, account or identity without authority.

3.  The User provides false, deceptive or impersonating information.

4.  The User fails to provide information genuinely required for the relevant feature.

5.  The User does not satisfy the eligibility requirements in section 3.

6.  The User infringes copyright, trade marks or other intellectual property rights of the Company or a third party.

7.  The User engages in unlawful defamation, serious harassment, interference with business operations or infringement of another person’s rights.

8.  The User uses the Service for fraud, manipulation, spam or improper personal gain contrary to these Terms.

9.  The User engages in hacking, phishing, malware distribution, unlawful data processing or other illegal conduct.

6. User Agreements and Account Management

1.  Users retain the rights provided by law in relation to their personal information, and personal information is handled under the Privacy and Customer Information Protection Policy.

2.  A User must ensure that the email address and, if supplied, mobile number are accurate and lawfully controlled by the User.

3.  As a general rule, an individual User should maintain one primary SmartCubic ID, except where the Company authorises separate business, administrator or role-based accounts.

4.  IDs, passwords and authentication information must be kept secure and confidential.

5.  Users must not sell, transfer, lend or share an account without authority.

6.  Users should keep material account and contact information up to date.

7. User Responsibility and Prohibited Content

Users bear primary responsibility for Content they create, upload or share and for their use of the Service. The Company remains responsible for obligations imposed on it by applicable law, and this section does not exclude liability that cannot lawfully be excluded.

  • Content or conduct that breaches these Terms or applicable Service policies
  • Content or conduct that violates applicable law
  • Infringement of another person’s copyright, trade mark, image, privacy or other rights
  • Collection, use or disclosure of another person’s personal information without a lawful basis
  • Sexual exploitation, unlawful discriminatory or hateful conduct, fraud, deception, threats, harassment, spam, phishing or malicious links
  • Intentionally false business or event information likely to materially mislead Users

8. Content Licence

1.  Users retain their rights in User Content.

2.  To the extent reasonably necessary to operate, display, search, distribute, back up and technically process the Service, Users grant the Company a non-exclusive, worldwide, royalty-free licence to use User Content. The Company may sublicense these rights to hosting, processing or distribution providers only as reasonably necessary to operate the Service.

3.  This licence generally ends when the User deletes the Content or closes the account. However, Content already shared with others, information subject to legal retention obligations, backups, or information required for disputes, security or legal claims may remain for a reasonable period.

9. Reward

1.  Reward may be granted in connection with membership activity, promotions, referrals, purchases, business participation or other conditions set by the Company.

2.  Reward may be used for discounts, promotions, benefits or marketing participation on participating services or domains, subject to the applicable conditions.

3.  Unless a specific Reward programme expressly states a validity period, Reward does not expire solely because time has passed.

4.  If a User closes the account or the account is lawfully terminated, unused Reward associated with that account may be forfeited unless applicable programme terms or mandatory law provide otherwise.

5.  Unless expressly stated otherwise, Reward is not legal tender, a bank deposit, electronic money or an investment product, and cash redemption or transfer is not guaranteed.

10. Communications with Users and Business Members

The Company may use contact details provided by a User to send operational communications reasonably necessary for account administration, transactions, security, Service changes, bookings or enquiries.

Advertising or promotional emails, texts or other commercial electronic messages will be sent only where the Company has the consent or other lawful basis required by applicable law. Where required, such messages will clearly identify the sender and provide a functional unsubscribe method.

A Business Member using User information for direct marketing must independently comply with applicable consent, notice, unsubscribe and privacy obligations.

11. Responsibilities of Business Members

Business Members must ensure that products, services, events, prices, locations, qualifications, approvals, promotions and contact information they provide are accurate and lawful. Where an independent Business Member is the actual supplier, that supplier is responsible for performance of its own goods, services or events and for obligations imposed on it by applicable law.

12. Pricing, Payments and Payment Recipients

Before payment for a Paid Service, the Company seeks to identify the relevant service, amount, currency, payment frequency, actual seller or provider, actual Payment Recipient and material cancellation or refund terms.

Unless expressly stated otherwise, GLOBALIZ LTD is the supplier and Payment Recipient for Paid Services directly supplied by allinauckland.com. PayPal or another payment provider may process the transaction. If an authorised partner or independent Provider receives payment, the actual recipient and its role should be identified before payment is completed.

13. Recurring Payments, Cancellation and Refunds

Where automatic renewal or recurring billing applies, the amount, currency, frequency, renewal arrangement, cancellation method and material refund terms will be presented before authorisation.

Cancellations and refunds are subject to the conditions displayed for the relevant Service or transaction and applicable consumer law. Nothing in these Terms limits a consumer remedy that cannot lawfully be excluded.

14. MetaCubic and Public Information

A SmartCubic ID, name, email address, profile, business or organisation information, images, links and other Content that a User elects to publish through a public MetaCubic or business page may be accessible to internet users.

Do not publish information in a public area if you do not want it publicly accessible. A telephone number may be optional where it is not required for a feature; users who do not need to publish a personal mobile number should avoid placing it on a public page.

15. Friend, Comment and Cubic App

Friend functions may display information designated as public to connected Users. A User who posts a Comment bears primary responsibility for that Comment.

A Cubic App creator is responsible for the accuracy and legality of icons, titles, descriptions, URLs, categories, search keywords, images and other submitted information and for having sufficient rights to use that material.

16. Intellectual Property

Copyright, trade marks and other intellectual property rights in allinauckland.com, SmartCubic, LocalCubic, MetaCubic, RewardCubic and Company-created software, code, data structures, pages, designs, documentation, logos and branding belong to the Company or the relevant rights holder.

Users receive only a limited right to use the Service. They must not copy, resell, reverse engineer, transfer or commercially exploit Company intellectual property without prior permission.

17. Privacy and Customer Information Protection

Personal information is processed under the allinauckland.com Privacy and Customer Information Protection Policy. Public availability of information does not create an unlimited right to harvest, resell, profile or use personal information for marketing.

18. Protection of Minors

A person under 14 may not independently use account-based Services unless the Company provides a guardian-authorised process. Minors should use the Service with age-appropriate guidance and should avoid publishing home addresses, school information, personal phone numbers, precise location, financial details or identification information.

Where Korean privacy law applies and processing personal information of a child under 14 relies on consent, the legally required representative consent and verification process applies.

19. Restriction, Suspension and Termination of Services

The Company may reasonably restrict, suspend or terminate accounts or functionality for security, fraud prevention, unlawful activity, material breach, rights infringement, non-payment, system integrity or legal requirements.

Termination or suspension may affect connected Business Member functions. To the extent permitted by law, the Company may limit liability for indirect losses ordinarily arising from a User’s own breach or from a lawful account restriction, but nothing in these Terms excludes liability that cannot lawfully be excluded.

20. Responsibility and Limitation of Liability

The Company remains responsible, as required by applicable law, for Services it directly supplies and for its own representations and conduct. For goods, services or events supplied by independent third parties or Business Members, the Company’s responsibility is limited to its actual role and any responsibility imposed by law.

To the maximum extent permitted by law, the Company limits liability for unforeseeable indirect, special or consequential loss and loss caused by a User’s breach of these Terms. This limitation does not apply where liability cannot lawfully be excluded or limited.

The Company may take reasonable steps to reduce offensive, inaccurate or unlawful User Content but does not guarantee that all User Content will be pre-screened or completely prevented.

21. Changes to These Terms

The Company may amend these Terms to reflect changes in law, Services, technology or operating arrangements.

Where a change is materially adverse to significant User rights or obligations, the Company will, except for urgent security or legal changes, seek to give at least 10 days’ notice before the change takes effect through the Service, email or another reasonable method.

Continued use after the effective date may constitute acceptance of the revised Terms. Where applicable law requires express consent to a change, the Company will obtain it.

22. External Services and Links

The Service may link to PayPal, maps, social media, local business websites and other external services. A link does not by itself constitute a guarantee or endorsement, and third-party terms and privacy policies may apply.

23. Governing Law

Subject to mandatory law applying to a particular User or transaction, these Terms are governed by the laws of New Zealand. Nothing in these Terms removes consumer or privacy rights that cannot lawfully be excluded.

2. Scope

This Policy applies to allinauckland.com and Company-operated SmartCubic functions connected through that domain. External business websites, maps, PayPal, social media and independent third-party services may apply their own privacy policies.

3. Personal Information We May Process

Depending on the Service, information may include:

  • Account and identifier information: SmartCubic ID, name, email, authentication data and an optional telephone number.
  • Local/business information: business or contact-person name, organisation name, address, public contact details, category, service description and images.
  • Enquiry, booking and event information: enquiry content, booking/application details, selected events and customer-support records.
  • Profile/public information: MetaCubic profile, public contact details, images and public content.
  • User Content: Comments, reviews, Cubic App icons, links, images, descriptions and posts.
  • Newsletter/marketing choices: email address and subscription preferences.
  • Technical information: IP address, device/browser information, access time, security and error logs.
  • Transaction information: order/transaction ID, amount, currency, payment status, actual payment recipient, refund and dispute information.
  • Other information voluntarily provided by the user.

4. Purposes of Processing

The Company may process personal information as reasonably necessary to provide local information and business pages, search/recommendation and connection functions, accounts and authentication, enquiries/bookings/events, customer support, payments/refunds/disputes, MetaCubic, Reward, Friend, Comment, Cubic App, newsletters, security, fraud prevention, records management, legal compliance and protection of legal rights.

5. Data Minimisation and Optional Information

The Company seeks to collect information reasonably necessary for the relevant purpose. A telephone number may be optional where it is not needed for a specific function. Users should not be unfairly denied an unrelated function merely for declining optional information that is not required for that function.

6. Notice When Collecting Directly

Where a user provides information directly through an account, business listing, enquiry/booking, payment, newsletter, Comment or content submission, the Company seeks to provide the information required by applicable privacy law, including purpose, intended recipients, collecting/holding agency, whether supply is voluntary or mandatory, relevant consequences of non-supply, and access/correction rights.

7. Indirect Collection and Local Information

The Company may obtain information from local businesses and organisations, event providers, authorised representatives, payment services, publicly available sources or other lawful sources. Where New Zealand IPP 3A applies and no exception is available, the Company will take reasonable steps to notify the individual of the collection, purpose, intended recipients, collecting/holding agency and access/correction rights as soon as reasonably practicable.

8. Business Information and Personal Information

General information about a company or business is not always personal information. However, information that identifies a sole trader, owner, employee or contact person — such as a personal name, personal email address, personal mobile number, photograph or other identifying information — may be personal information and is handled under this Policy and applicable law.

9. Internal allinauckland.com / SmartCubic Processing

Because allinauckland.com and SmartCubic are operated by the same GLOBALIZ LTD legal entity, processing information between those brands/systems for service delivery is distinguishable from disclosure to a separate SmartCubic company. If the Company wishes to use personal information for a materially different purpose, it will obtain any additional notice, consent or other lawful basis required by applicable law.

10. Search and Recommendation Processing

The Company may process search terms, selected menus, location/category/meaning-based information, user-supplied information and business/content data to provide search, recommendations and related connections. If sensitive profiling or automated decisions with legal or similarly significant effects are introduced, applicable legal requirements will be separately assessed.

11. Public MetaCubic and Business Pages

Information a user publishes through a public MetaCubic or public business page may be visible to internet users. This may include SmartCubic ID, name, email address, profile, business/organisation information, images and other public content. Do not publish information you do not want publicly accessible.

12. Telephone Numbers

A telephone number may be optional where not required for a service. Users who do not need to publish a personal mobile number are encouraged not to place it on a public page; a business or dedicated public-contact number may be more appropriate where public contact is necessary.

13. Comments, Reviews and Cubic App

Personal information voluntarily included in a public Comment, review or Cubic App entry may become publicly visible. Users must not publish another person’s personal information without appropriate authority or another lawful basis. Reported content may be restricted or removed where privacy or other rights are infringed.

14. Friends and Reward

Friend functions may display SmartCubic ID, name, email address or public profile information designated for connected users. Reward transactions may process identifiers and transaction information necessary to provide and verify benefits.

15. Newsletter and Marketing

Where a user subscribes to newsletters or marketing, the Company may process the email address and subscription preferences for that purpose. An unsubscribe mechanism will be provided where required by law. Operational notices necessary for the Service may be distinguished from marketing communications.

16. Payments and PayPal

Where PayPal or another payment service is used, payer identification, order/transaction ID, amount, currency, payment status, actual payment recipient, refund and dispute information may be processed. Financial credentials entered directly into a payment provider may be processed separately by that provider under its own systems and policies.

17. Disclosure and Recipients

Where permitted by applicable law and reasonably necessary for the relevant Service, personal information may be disclosed to categories including the actual business/service/event provider, the actual payment recipient, PayPal or another payment service, hosting/email/security/technology providers, and authorities where disclosure is lawfully required. The Company will comply with applicable purpose and disclosure limits including New Zealand IPP 11.

18. Service Providers and Processors

The Company may engage external providers to process information for Service operation. Actual providers, functions and information categories should be maintained and disclosed in accordance with current operations. Where Korean privacy law applies to outsourced personal-information processing, required purpose restrictions, safeguards, documentation and public disclosure of the entrusted function and processor will be addressed.

19. Overseas Processing and Disclosure

Personal information may be processed outside New Zealand or a user’s home jurisdiction in connection with cloud, payment, email or other technology services. Where an overseas disclosure is subject to New Zealand IPP 12 or another jurisdiction’s transfer rules, the Company will apply the required lawful basis, contractual safeguards, notice, consent or other protections. Actual processing countries/providers should be maintained in an operational schedule or policy disclosure.

20. Retention

Personal information is retained only for as long as reasonably necessary for the relevant purpose and applicable legal, accounting, dispute-resolution and security requirements. When no longer required and no lawful retention reason applies, information may be deleted or de-identified under reasonable procedures. Specific retention periods should be maintained consistently with internal records-management requirements and actual system capability.

21. Security

The Company seeks to maintain technical and organisational safeguards appropriate to the nature, scale and risk of the personal information handled. Users are also responsible for protecting passwords and administrator credentials. No system can guarantee absolute security.

22. Privacy Breaches

If a privacy breach occurs, the Company will assess its scope, impact and likelihood of serious harm and notify the relevant regulator and affected individuals where required by applicable law.

23. Access, Correction and Other Rights

Individuals may request access to and correction of their personal information and exercise other rights recognised by applicable privacy law. Requests may be submitted to info@smartcubic.com or another privacy channel designated by the Company.

24. Minors

Additional care should be taken with personal information relating to minors. Minors are encouraged not to publicly disclose home addresses, school information, personal phone numbers, precise location, financial details or identification information. Where Korean privacy law applies and processing personal information of a child under 14 relies on consent, the required legal-representative consent and verification process applies.

26. Changes to This Policy

This Policy may be updated when the Service, technology, privacy processing arrangements or applicable law changes. Material changes affecting significant privacy rights will be notified where required by law.
